Terms & Conditions

Commercial quotations generated via the platform are estimates based on prevailing market rates, freight tariffs, and raw material availability.

• Formal quotations remain valid for the period specified in each proforma invoice (typically 14 to 30 calendar days).
• Prices are quoted in agreed currencies (USD, EUR, or ETB) subject to NBE forex allocation and customs duties where applicable.
• A binding contract is established only upon mutual signing of a formal Sales Contract or issuance of an approved Letter of Credit (L/C) / Cash Against Documents (CAD).

International import and export transactions comply strictly with banking directives issued by the National Bank of Ethiopia:

• Accepted payment methods include Irrevocable Letters of Credit (L/C at sight), CAD, and Advance Telegraphic Transfers (T/T) as permitted under trade regulations.
• All bank charges outside Ethiopia are for the account of the buyer unless otherwise explicitly stated in the proforma agreement.

Deliveries are scheduled according to agreed Incoterms 2020 (such as FOB Djibouti, CIF Djibouti, EXW Addis Ababa, or Delivered to Modjo Dry Port):

• Estimated shipping dates are given in good faith and depend on carrier schedules and customs clearance timelines.
• Risk of loss or damage transfers in accordance with the specified Incoterm.
• Inspection certificates (e.g. SGS, EIC, Phytosanitary) are furnished prior to shipment departure where requested.

Neither party shall be held liable for failure or delay in fulfilling obligations caused by circumstances beyond reasonable control, including natural disasters, acts of war, border closures, maritime route disruptions, or sudden regulatory embargoes.

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Federal Democratic Republic of Ethiopia. Any unresolved disputes arising under these terms shall be submitted to arbitration in Addis Ababa, Ethiopia.
